For more than 15 years Pavel has been doing cross-border mergers and acquisitions (M&A), setup of joint ventures and investment funds, venture capital and private equity investments, business restructuring.

Pavel supports clients with structuring M&A transactions, private equity and venture capital deals, in foreign jurisdictions and in Russia, conducting due diligence, determining negotiating position, developing corporate governance, investment protection, future financing and exit strategy, as well as long-term incentive schemes.
Experience (selected representations)
  • advising an international investment company on structuring and completion of 26 investment deals in various jurisdictions (Israel, US, UK, Malta, Russia) for a total amount of $50m;
  • advising an international investment company on set up of 2 investment funds with a total capital of $100m., including comprehensive SHAs to enable transfer of operational control, management and shareholders deadlock resolution;
  • advising a management team on set up of an investment fund with committed capital of $30m.;
  • advising an investment company on several rounds of investment into equity of a foreign online gaming company from current shareholders for $6m in aggregate, as well as convertible loans and senior loan with liquidation preference;
  • advising a private client on the structured sale of a minority stake in a Russian company - owner of a real estate development project – to a private equity fund for a price structured as earn-out consideration deferred by the on-sale or completion of the project by the purchaser;
  • advising a major Russian state-owned company in relation to technical operator services and renovation of several energy facilities in Nigeria;
  • advising a major Russian state-owned company in relation to establishing a joint venture in India to carry out energy projects in India and Asian countries;
  • advising a major international energy company on the acquisition of a privately-owned production group with the presence in Russia and CIS, structured as call options exercised by the buyer;
  • advising a US insurance group on the auction sale of a controlling stake in its Russian subsidiary bank to a European purchaser, with an option to buy out the remaining shares;
  • advising an international financial group on the sale of its retail banking business in Russia to local purchasers;
  • advising a private regional construction group focusing on residential real estate development in Russia on the sale of its mass-market housing division for approximately $300m accompanied by a pre-closing restructuring thereof.
