WEBINAR “CLOSED-ENDED FUND AS A HOLDING STRUCTURE”

Сlosed-ended funds (CEFs) have become a popular alternative to foreign holding structures for Russian assets due to sanctions. Despite CEF is not a new instrument, its use as a holding structure is new.
We are pleased to share the recording and slides (both in Russian) of the webinar which TA Legal Consulting and asset manager Olymp Capital held on 2 October 2024. During the webinar, we compared CEF and a private fund, discussed CEF as a suitable option for corporate asset management, analyzed CEF in the context of M&A, looked into CEF infrastructure and expenses, as well as related tax issues.

A survey during the webinar showed that participants consider CEFs for:

  • consolidating assets (45%)
  • optimizing taxes (45%)
  • protecting against sanctions (45%)
  • attracting investments (33%)
  • inheritance purposes (29%)
As to the assets to be transferred into a CEF,

  • 73% of participants plan to transfer shares
  • 49% will transfer property
  • 14% securities
  • 20% other assets
Multiple answers were possible in both questions.
